Kaufvertrag
1. Geltung, Anwendungsbereich
Diese Klauseln gelten für diesen Kaufvertrag, den der Kunde (wie folgt auch: „Sie“ oder „Ihnen“) mit der Elmos Semiconductor AG (wie folgt auch: „wir“ oder „uns“) via Ebay abschließen.

3. Angebot und Vertragsschluss
(1) Durch Einstellen des Artikels im Angebotsformat „Auktion“ oder „Sofort-Kaufen“ geben wir ein verbindliches Angebot zum Abschluss eines Kaufvertrags über den Erwerb dieses Artikels ab. Das Angebot kann innerhalb der von uns in der Artikeldarstellung bestimmten Frist durch die Abgabe eines Gebots (das mindestens der geforderten Mindestpreisvorstellung von Elmos entsprechen muss) über die „Bieten“-Funktion (bei Auktionen) oder durch Anklicken der Schaltfläche „Sofort-Kaufen“ und Bestätigung des Vorgangs (bei „Sofort-Kaufen“) angenommen werden. Das Gebot erlischt, wenn ein anderer Bieter während der Angebotsdauer ein höheres Gebot abgibt (bei Auktionen).
(2) Ein Kaufvertrag über den Erwerb des Artikels kommt bei Ablauf der Auktion oder bei vorzeitiger Beendigung des Angebots zwischen uns und dem Höchstbietenden zustande. Falls der Artikel mit der Option „Sofort-Kaufen“ versehen ist, kommt ein Vertrag über den Erwerb des Artikels unabhängig vom Ablauf der Angebotszeit und ohne Durchführung einer Auktion bereits dann zum „Sofort-Kaufen“-Preis (Festpreis) zustande, wenn der Käufer diese Option ausübt.

Wenn Sie den gewünschten Artikel gefunden haben, geben Sie ein Gebot ab oder erwerben Sie den Artikel direkt per „Sofort-Kaufen“. Auf der Artikelseite sehen Sie, welche Kaufoptionen Ihnen zur Verfügung stehen. Wenn Sie bieten und bei Auktionsende der Höchstbietende sind, sind Sie wie bei einem Sofort-Kauf verpflichtet, den Artikel zu bezahlen. eBay wird Sie mit verschiedenen Hinweisen durch diesen Bestellvorgang führen und auf die rechtliche Verbindlichkeit des Betätigens bestimmter Schaltflächen nochmals gesondert hinweisen. Vor Ihrem verbindlichen Kauf können Sie den Bestellvorgang jederzeit abbrechen. Nachdem Sie den Zuschlag für einen Artikel erhalten oder ihn per Sofort-Kaufen direkt erworben haben, erhalten Sie eine E-Mail von uns mit Informationen zu den Zahlungsmodalitäten.
4. Preise und Versandkosten
(1) Der auf der Seite des Artikels genannte Preis enthalten die gesetzliche Mehrwertsteuer und alle sonstigen Preisbestandteile.
(2) Zusätzlich zu dem angegebenen Preis berechnen wir die auf der Artikelseite ausdrücklich ausgewiesenen Versandkosten.
5. Lieferung
(1) Die Lieferung erfolgt an Ihre bei eBay hinterlegte Adresse. Die Incoterms 2010 EXW sind anwendbar.
(2) Wir liefern mit DHL Express oder auf Anfrage bei Sendungen, wo DHL Express nicht möglich.
(3) Der Versand erfolgt im Regelfall innerhalb von fünf Arbeitstagen nach Zahlungseingang durch die Übergabe des Artikels an DHL Express oder einen anderen Spediteur. Auf eventuell abweichende Lieferzeiten weisen wir auf der Artikelseite hin.
6. Zahlung
(1) Die Zahlung erfolgt wahlweise per Vorkasse oder PayPal.
(2) Bei Auswahl der Zahlungsart Vorkasse nennen wir Ihnen unsere Bankverbindung nach Kauf der Ware.
7. Eigentumsvorbehalt
Bis zur vollständigen Zahlung bleibt der Artikel unser Eigentum.
8. Speicherung des Vertragstextes
Der Vertragstext wird auf unseren internen Systemen gespeichert und ist dort nicht für Sie zugänglich. Die Bestelldaten und dieser Vertrag werden Ihnen per E-Mail zugesendet. Mit Ihrer Registrierung bei eBay haben Sie eingewilligt, dass abgelaufene Angebote, deren Angebotsende nicht länger als 90 Tage zurückliegt, in Ihrem persönlichen eBay-Bereich (Mein eBay) angezeigt werden. Dort können Sie die Bestelldaten und diesen Vertrag innerhalb dieses Zeitraums jederzeit einsehen. Danach sind weder detaillierten Bestelldaten noch dieser Vertrag mehr über eBay verfügbar.
9. Widerrufsrecht für Verbraucher
Widerrufsrecht
Sie haben als Verbraucher das Recht, binnen vierzehn Tagen ohne Angaben von Gründen diesen Kaufvertrag zu widerrufen. Die Widerrufsfrist beträgt vierzehn Tage ab dem Tag, an dem Sie oder ein von Ihnen benannter Dritter, der nicht Beförderer ist, den Artikel in Besitz genommen haben bzw. hat.
Um Ihr Widerrufsrecht als Verbraucher auszuüben, müssen Sie uns mittels einer eindeutigen Erklärung (z. B. ein mit der Post versandter Brief, Telefax oder E-Mail) über Ihren Entschluss, diesen Vertrag zu widerrufen, informieren. Zur Wahrung der Widerrufsfrist reicht es aus, dass Sie die Mitteilung über die Ausübung des Widerrufsrechts vor Ablauf der Widerrufsfrist absenden. Sie können dafür das Muster eines Widerrufsformulars verwenden, das jedoch nicht vorgeschrieben ist. Dieser Widerruf ist an die folgende Adresse zu richten:

Widerrufsfolgen
Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrags bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet.
Wir können die Rückzahlung verweigern, bis wir den Artikel wieder zurückerhalten haben oder bis Sie den Nachweis erbracht haben, dass Sie den Artikel zurückgesandt haben, je nachdem, welches der frühere Zeitpunkt ist. Sie haben den Artikel unverzüglich und in jedem Fall spätestens binnen vierzehn Tagen ab dem Tag, an dem Sie uns über den Widerruf dieses Vertrags unterrichten, an uns zurückzusenden oder zu übergeben. Die Frist ist gewahrt, wenn Sie den Artikel vor Ablauf der Frist von vierzehn Tagen absenden. Sie tragen die unmittelbaren Kosten der Rücksendung des Artikels. Sie müssen für einen etwaigen Wertverlust des Artikels nur aufkommen, wenn dieser Wertverlust auf einen zur Prüfung der Beschaffenheit, Eigenschaften und Funktionsweise des Artikels nicht notwendigen Umgang mit ihnen zurückzuführen ist. Wenn Sie den Vertrag widerrufen, betrifft dies den Vertrag im Ganzen.
10. Gewährleistung
Der Käufer wird explizit darauf hingewiesen, dass es sich bei diesem Kauf um einen gebrauchten, d.h. nicht neuwertigen Artikel, handelt. Die Gewährleistung der Elmos Semiconductor AG ist aufgrund des gebrauchten Zustands des Artikels ausgeschlossen.
Auch für Schadensersatzansprüche aus und im Zusammenhang mit der Gewährleistung gilt Ziffer 12.
11. Haftungsbeschränkung
Der Käufer wird explizit darauf hingewiesen, dass es sich bei diesem Kauf um einen gebrauchten, d.h. nicht neuwertigen Artikel, handelt. Etwaige Schadensersatzansprüche Ihrerseits – gleich aus welchem Rechtsgrund – sind ausgeschlossen. Dieses gilt insbesondere für Mangelfolgeschäden. Dies gilt nicht bei arglistigem Verschweigen des Mangels, bei Nicht-einhaltung einer Beschaffenheitsgarantie, bei der Verletzung des Lebens, des Körpers oder der Gesundheit und/oder bei einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung unsererseits.
12. Sonstiges
a) Erfüllungsort ist Dortmund.
b) Ausschließlicher Gerichtsstand ist, sofern Sie Kaufmann, juristische
Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen sind, Dortmund. Wir sind jedoch auch dann berechtigt, Sie an Ihrem Sitz oder dem Erfüllungsort in Anspruch zu nehmen.
c) Es gilt deutsches Recht unter Ausschluss des UN-Kaufrechts und der
Kollisionsnormen des internationalen Privatrechts, insbesondere der Rom-I-Verordnung.
d) Sollten einzelne Klauseln dieses Vertrages ganz oder teilweise
unwirksam sein, so berührt das die Wirksamkeit der übrigen Klauseln bzw. der übrigen Teile solcher Klauseln nicht.
e) Dieser Vertrag steht in deutscher Sprache und einer englischen
Übersetzung zur Verfügung. Die englische Übersetzung ist lediglich eine Servicedienstleistung der Elmos Semiconductor AG und hat keine rechtliche Bedeutung.

Purchase Contract
1. Validity, Scope
These provisions shall be applicable for the purchase contract that the costumer (hereinafter: “you” and variations thereof) enter into with Elmos Semiconductor AG (hereinafter: “we” and variations thereof) via ebay.
Further information in relation to Elmos Semiconductor AG may be found in our web- based company details.
3. Offer and Execution of the Contract
(1) Upon uploading the Article as an „Offer“ either by means of an „auction“ or by the option „Buy immediately“ we declare a legally binding offer to enter into a purchase contract with our company Elmos Semiconductor AG in view of vending the said Article.
You may accept our offer within the term as laid down in the description of the Article by
transmitting a bidding tender (that shall at least equal to the lowest price indication of Elmos) or by pressing the button ”Buy immediately” and subsequently confirming the procedure (in cases of the option ”Buy immediately”). In case of auctions the bidding tender shall become null and void if a third party within the bidding term declares an offer whose value exceeds the previous bidding tender.
(2) A purchase contract regarding the Article shall become valid at the end of the auction or in case of a premature expiry of the offer between us and the highest bidder for the offer. If the Article is sold via the option „Buy immediately“, the purchase contract shall be deemed to be established with immediate effect at the determined price, independently of the expiry of the offer and without the realization of an auction.
(3) Further information in view of the order procedure:
Once you have found the Article to be purchased, you shall proceed by declaring a bidding tender or purchase the Article by mashing the button “Buy immediately”. On the front page of the Article you may observe which purchase option to buy the Article will be available to you. If you have taken part in the auction procedure and at the end of such you will have bidden the highest price, you are obliged to pay for the Article as if you had bought it with immediate effect. Ebay will provide you with the necessary hints in order to complete the ordering procedure; in addition to that ebay will outline the legally binding character of certain transactions. Before entering into the legally binding purchase contract you may stop the purchase procedure at any time. If you will be the bidder having declared the highest price acceptance or if you will have purchased the Article by the means of the “Buy immediately” procedure, you receive an e-mail from us with all necessary information about the payment procedure.
4. Prices and the Costs of Transportation
(1) The prices as laid down on the web page are inclusive of sales tax and other pricing components.
(2) In addition to the indicated price we will charge you the shipping costs, which will be determined on the page of the Article.
5. Delivery
(1) The delivery will take place at the address that you have declared upon entering the ebay platform. The Incoterms 2010 EXW shall be applicable.
(2) We delivery by recurring on the services of DHL Express or upon request by other means, if DHL Express should not be the appropriate service provider.
(3) The shipping regularly shall be initiated five labour days after receipt of the payment and shall be deemed to have taken place by delivering the Article to DHL Express or the respectively similar service provider. We will inform you about all potentially deviating delivery schedules on the page of the Article.
6. Payment
(1) The payment shall be executed either by pre-payment or via paypal.
(2) After completion of the purchase and upon selecting your mode of payment we will communicate our bank details to you.
7. Reservation of Property
The Article shall remain our property up to the complete payment of the purchase price.
8. Registration of the contractual wording
The wording of the contract will be registered in our internal computer systems and in such place it will not be accessible to you. All relevant order details and the purchase contract will be sent to your attention via e-mail. Upon registration on the ebay-platform you have approved to that expired offers, whose expiry does not date back later than 90 days, will be displayed on your personal ebay-profile (“My Ebay”). In such place, you may verify at any time the details of the order within the aforementioned timeframe. After 90 days neither the order details nor the purchase contract itself will be available anymore to you.
9. Revocation right for consumers
Revocation right
If you are a consumer, you are entitled to revoke the purchase contract within a term of fourteen days without reason. The revocation term shall start fourteen days after you or a third party nominated by yourself (who is not the carrier) will have taken possession of the Article. In order to realize your revocation right as a consumer, you shall declare your revocation by means of an unequivocal notification (for example, letter, telefax or e-mail) to our attention. In view of meeting the fourteen day deadline it is sufficient that you have sent off the revocation declaration to our attention. For your ease of convenience you may use the attached template; however, the usage of such template is not mandatory. The revocation shall be directed to the following address:

Legal consequences of the revocation
If you should revoke this contract, we will be obliged to return all payments, including the delivery costs (except all additional costs resulting from your free choice to select a more expensive mode than the standard delivery), with undue delay and at the latest within 14 days starting from the day that we will have received your revocation. For the return of your payment we will use the same way of payment that you initially used for the transaction, unless otherwise agreed upon. In no event we will charge you any fees for the return of your payment.
We are entitled to withhold the return of the payment up the receipt of the Article or the receipt of evidence that you have sent back the Article to our attention, whichever is earlier. With undue delay – at the latest within 14 days starting from the day that you have notified us of your revocation - you shall return the Article to our attention. This deadline shall be deemed to have been met if you dispatch the Article within the 14 day term. You shall bear the immediate costs of the return of the Article. You shall be responsible for a potential depreciation of the Article if such depreciation is based on a usage by you to an extent that such usage exceeds the purposes of a verification of the specification, workmanship or functionality of the Article. If you revoke the purchase contract, the revocation shall apply for the contract in its entirety.
10. Warranty
You (the Purchaser) have been explicitly advised of the second-hand character of the Article. The Article has been used priorly and is not brand-new. The warranty of Elmos Semiconductor AG is excluded on the grounds that the Article has been used priorly.
Also for claims for damages and for other claims in relation to warranty this article 13 shall be applicable.
11. Limitations of Liability
You (the Purchaser) have been explicitly advised of the second-hand character of the Article. The Article has been used priorly and is not brand-new. Potential claims for damages from the Purchaser, no matter on which legal grounds, shall be excluded. This shall particularly be applicable for indirect or consequential damages. These limitations shall not be applicable in cases of fraudulent concealment of the defect, non-conformity with a guarantee (“Garantie”), bodily harm of human beings or grossly negligent or intentional conduct of Elmos Semiconductor AG.
12. Miscellaneous
a)The place of fulfillment shall be Dortmund.
b)Provided that you are a merchant, a legal person of public law or
publicly-sponsored fund, the exclusive venue of jurisdiction for all controversies arising out of this contract shall be Dortmund. In such case we are also entitled to initiate legal action before the court at the place of your business seat or at the place of fulfillment.
c) The laws of Germany shall be applicable. The CISG and other
conflict of law provisions under international private law shall be excluded.
d)Should individual provisions of this purchase contract entirely or
partially be null and void, such invalidity shall not affect the validity of
other clauses or other parts of such clauses.
e)This contract has been agreed upon in German language. The English
version shall be made available only for purposes of your convenience. No legal value shall be attributed to the English version thereof.
