TITLE: Title will be free and clear of all liens, claims and encumbrances of any kind and shall vest in Buyer upon delivery or payment for the Equipment, whichever shall occur first.  When title to the Equipment vest in BUYER, SELLER shall execute and deliver to BUYER a Bill of Sale transferring title of Equipment free and clear of all liens, claims and encumbrances of any kind.  SELLER shall indemnify BUYER against all claims, costs, expenses and attorney fees incurred in the defense of title to the Equipment and/or removal of any liens, claims or encumbrances against the Equipment.

CONDITION OF EQUIPMENT:  BUYER, or its agent, shall have the right to inspect the Equipment for general appearance and operating condition and to inspect the Equipment’s logbook if available.  SELLER agrees to maintain or cause the Equipment to be maintained hereafter so that no excessive deterioration or use other than normal wear and tear shall occur before delivery of the Equipment, or, if such deterioration use shall occur, SELLER shall promptly correct or cause said excessive deterioration or us to be corrected to assure the acceptable appearance and condition of the equipment.  At the time of delivery the Equipment will have a complete set of cables for each item of Equipment, diagnostics wiring diagrams, maintenance, parts and operations manuals, and any other accessories that were originally supplied by the manufacturer.  SELLER shall be liable for the replacement cost of any foregoing if missing at time of delivery.

 Indemnity: Purchaser agrees to indemnify and hold harmless seller and seller’s officers, directors, shareholders, agents and employees against any and all liabilities, obligations, claims, demands, cost and expenses of every kind and nature, including attorney’s fee and litigation expenses, arising from or related to the equipment, including, without limitation, the manufacture, selections, purchaser, delivery,  possession, use, operation or return or the equipment or from any breach or default on the part of seller in the performance of any agreement or seller to be performed pursuant to the terms of this Agreement.

NON-SPECIFIED FEATURES:  BUYER acknowledges that operation of the Equipment may require use of certain software licensed by the manufacturer.  BUYER agrees to make its own agreements with the manufacturer for use of such software.
