Payment in full prior to removal.  All taxes, customs, duties, sales tax, & personal property taxes relating to the item or their sale are the responsibility of the Buyer.

1.  Unless otherwise stated in this agreement, Seller has not inspected the item, & the item is sold "as-is, where-is" with all faults and defects, known & unknown, whether obvious or latent.  Seller expressly disclaims all warranties expressed or implied, including any warranty of merchantability or fitness for a particular purpose, or any warranty regarding the accuracy of item specifications or operability. 

2.  All descriptions of the item are not warranties & are for illustration purposes only & are intended only as a guide and their accuracy is not guaranteed.  Seller makes no representations or warranties that the item conforms to any such descriptions.  It is the Buyer's responsibility to inspect the item & ascertain that the item conforms to the Buyer's requirements prior to purchasing the item. 

3.  The maximum liability of Seller or any affiliate, subcontractor or suppliers, at any tier, under any legal theory, shall not exceed the purchase price paid to Seller for the item, and Seller shall not be liable for any consequential, incidental, special, or punitive damages, lost profits or loss of use damages. 

4.  Buyer is solely responsible & bears the risk of loss for all arrangements & costs in dismantling, packing, loading, rigging, shipping, delivering, assembling & installing the item. 

5.  Item sold subject to prior sale.
