Both are out of print, and the Animated Series upgrade kits in particular are quite rare and don't come around at all!
The kit includes Optimus and Ratchet's weapons and handcuffs. The handcuffs can actually be used to recreate scenes from the movie!
Both are new, unopened, and in good condition.
